Terms of Service

1. Acceptance of Terms
By downloading, installing, or using the Thorium application or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Thorium ("we", "us", or "our").
2. Description of Service
Thorium provides a zero-knowledge, end-to-end encrypted layer on top of third-party cloud storage providers (such as Google Drive, Dropbox, and OneDrive). All encryption and decryption occurs on your device. We do not have access to your files, passwords, or encryption keys.
3. Eligibility
You must be at least 13 years of age (or 16 in the EU/UK) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
4. Your Account
4.1 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@thorium-security.com if you suspect unauthorised access.
4.2 Master Password
Your master password is used to derive your encryption keys. We do not store it. If you lose your master password, we cannot recover your encrypted data. You are solely responsible for keeping a secure backup of your master password.
5. Acceptable Use
You agree not to use the Service to:
- Store, transmit, or distribute any content that is illegal under applicable law
- Infringe upon the intellectual property rights of any third party
- Transmit malware, ransomware, spyware, or other malicious code
- Attempt to reverse engineer, decompile, or disassemble the Service
- Attempt to gain unauthorised access to our systems or networks
- Engage in any activity that interferes with or disrupts the Service
- Resell or commercially exploit the Service without our express written consent
We reserve the right to suspend or terminate accounts that violate these restrictions.
6. Third-Party Cloud Providers
Thorium connects to third-party cloud storage providers on your behalf. You are responsible for complying with the terms of service of any such third-party provider you connect to Thorium. We are not responsible for any changes, outages, or data loss that occur at the level of those third-party providers.
7. Subscription & Billing
7.1 Fees
Certain features of the Service are offered on a paid subscription basis. Current pricing is displayed in the app and on our website. We reserve the right to change our pricing with at least 30 days' notice.
7.2 Cancellation & Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods, except where required by applicable law.
8. Intellectual Property
The Service and all associated software, branding, and content are owned by Thorium and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Service as described herein. You retain all rights to the content you encrypt and store using the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
While we employ strong encryption and security practices, no system is completely infallible. You should maintain independent backups of any data that is critical to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THORIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).
11. Indemnification
You agree to indemnify and hold harmless Thorium and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 8–13 survive any termination of these Terms.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration body in the jurisdiction where Thorium is incorporated.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
